ISHIDA Dance Company Whistleblower Policy

Purpose

The organization encourages directors, staff, volunteers, and contractors to report in good faith any suspected illegal, unethical, or improper conduct, and prohibits retaliation for such reports.

Scope

This policy applies to all directors, officers, employees, volunteers, and contractors.

Reportable Concerns

Reportable concerns include, but are not limited to:

  • Fraud or financial misconduct

  • Violations of law or regulatory requirements

  • Conflicts of interest

  • Harassment, discrimination, or unsafe practices

  • Misuse of organizational resources

  • Retaliation against individuals who raise concerns

Reporting Process

Concerns may be reported to any of the following:

  • Any member of the Board of Directors

  • The Artistic Director (Brett@ishidadance.org)

  • The Chair of the ISHIDA Board of Directors HR Committee (Kate Jessup kathrynejessup@gmail.com)

  • The Chair of the ISHIDA Board of Directors Finance Committee (John Chen johnchen8@gmail.com)

Handling of Reports

  • Reports may be made anonymously

  • Reports involving personnel or workplace matters will generally be overseen by the HR Committee.

  • Reports involving financial matters will generally be overseen by the Finance Committee.

  • If a report involves senior leadership, a committee member, or presents a conflict of interest, it should be directed to any independent member of the Board.

  • The appropriate committee or the full Board will ensure a timely and appropriate investigation.

Confidentiality

Reports will be handled as confidentially as possible, consistent with the need to investigate.

No Retaliation

Retaliation against any individual who reports a concern in good faith is strictly prohibited and may result in disciplinary action, up to and including removal from position.

Oversight

The Board of Directors retains ultimate oversight of this policy and any investigations.
